About the role

OBOR seeks one law firm to deliver two connected phases, priced separately.
Phase 1 involves a cost-led recommendation on the fund structure.
Phase 2 involves drafting the core fund documentation that an institutional investor will review before committing.
Commitment to Phase 2 is subject to the Phase 1 structure being confirmed and affordable.
For each realistic option in Phase 1, counsel should provide: Legal form and how the two vehicles connect; Set-up cost and annual running cost; The minimum AUM at which the option is cost-justified; Tax efficiency at fund and investor level; Acceptability to institutional and DFI investors; Compatibility with DFAT grant conditions and the accommodation of concessional capital; Capacity to extend to additional Southeast Asian markets.
Phase 2 will involve drafting the Prospectus / PPM and the LPA, as well as other documents completing the institutional set.

Requirements

Proposers should be comfortable with blended-finance mechanics, including a catalytic first-loss tranche and the accommodation of concessional and grant-linked capital alongside commercial capital.
Eligibility criteria include: Technical approach and an initial structuring hypothesis addressing the blended-finance mechanics; Named senior lawyers who will perform the role, with CVs and relevant references; Experience with DFI-backed or blended-finance funds, and with Singapore and/or Luxembourg fund formation, is expected.
A strong generalist firm with a named specialist partner or co-counsel providing that capability will be considered equally; At least one example of a comparable fund-formation mandate (fund size, structure, jurisdictions); Fee proposal, priced separately for Phase 1 and Phase 2 (and by document within Phase 2), with assumptions.
Note any pro bono or reduced-fee arrangement offered.
